SPECIAL TERMS FOR THE “CPV” SUBSCRIPTION These Special Terms for the “CPV” Subscription (hereinafter, the “Special Terms”) govern the specific conditions for the purchase, use, pricing, payment, modification, and renewal of the “CPV” subscription on the Tender.am electronic platform, as well as the provision of notifications regarding matching announcements. The operator of the Tender.am Platform is Barrus Group LLC (hereinafter, the “Operator”). These Special Terms form an integral part of the Platform’s Public Agreement for the Provision of Information and Other Services. General matters relating to payments, the Wallet, Charges, and refunds are governed by the Platform’s Special Terms for Payments, Wallet and Refunds. The processing of personal data is governed by the Platform’s Privacy Policy. Capitalized terms used in these Special Terms and not separately defined herein have the meanings assigned to them in the Public Agreement. 1. GENERAL PROVISIONS AND DEFINITIONS 1.1. These Special Terms apply to the “CPV” subscription provided through the Tender.am Platform. 1.2. “CPV” (Common Procurement Vocabulary) is a unified classification system for procurement subjects under which goods, works, and services are assigned corresponding classification codes. 1.3. “CPV” codes are used on the Platform for the classification and search of announcements and for the provision of corresponding notifications. 1.4. The “CPV” subscription is a paid service of the Tender.am Platform through which the User selects one or more “CPV” codes for a specified period and, during the subscription period, receives notifications regarding new announcements matching those codes without separate payment for each matching announcement. 1.5. These Special Terms form an integral part of the contractual terms governing the use of the “CPV” subscription. 1.6. In the event of a conflict between these Special Terms and the general provisions of the Public Agreement, these Special Terms shall apply to matters directly relating to the specific features of the “CPV” subscription, unless otherwise required by mandatory provisions of the applicable laws of the Republic of Armenia. 2. PURCHASE OF THE SUBSCRIPTION 2.1. The User may select one or more “CPV” codes and purchase a subscription for one of the subscription periods available on the Platform at the relevant time. 2.2. The subscription may be purchased for one month, three months, six months, or one year, unless other or additional subscription periods are available on the Platform at the relevant time. 2.3. Before confirming the purchase, the User is provided with at least the following information:
2.4. After the purchase is confirmed, the final price is charged from the User’s Wallet as a one-time Charge. 2.5. The subscription is activated after the corresponding amount has been successfully charged, unless expressly provided otherwise on the Platform. 2.6. When purchasing a “CPV” subscription for the first time, the User is presented with these Special Terms, and use of the Service is permitted only after their acceptance. 2.7. Acceptance of these Special Terms applies to “CPV” subscriptions subsequently purchased, supplemented, or renewed by the same User, and separate acceptance is not required for each subsequent transaction. 2.8. In the event of a material amendment to these Special Terms, the Operator may require the User to accept the new version in order to continue using the Service. 3. SUBSCRIPTION PRICE 3.1. The price of the “CPV” subscription is calculated based on the selected “CPV” codes, the base prices established for the corresponding groups, applicable coefficients, the selected subscription period, and other pricing conditions in effect on the Platform. 3.2. Different base prices and pricing conditions may apply to different “CPV” groups, codes, or categories. 3.3. If “CPV” codes belonging to groups with different base prices are selected within a single purchase, the subscription price may be calculated based on:
3.4. The Operator may establish special prices, coefficients, discounts, or other calculation conditions for individual “CPV” codes, groups of codes, or combinations thereof. 3.5. The final subscription price is presented to the User before the purchase is confirmed. 3.6. Current base prices, coefficients, pricing conditions applicable to subscription periods, and other applicable pricing parameters are established and made available to the User on the Platform. 3.7. The Operator may change base prices, coefficients, discounts, and other pricing parameters applicable to future purchases. 3.8. Changes to pricing conditions do not affect the price of an already activated and fully paid “CPV” subscription during its current paid subscription period. 4. SUBSCRIPTION PERIOD AND NOTIFICATIONS 4.1. During the subscription period, the Subscriber receives notifications regarding new announcements matching the “CPV” codes included in the subscription. 4.2. No separate Charge is made for matching announcements covered by the subscription during its validity period. 4.3. Notifications are provided to the Subscriber through the Platform and, depending on available functionality and the User’s settings, may additionally be sent by email, SMS, or other available means of communication. 4.4. A notification made available to the Subscriber in the relevant section of the Platform is considered provided from the moment it is placed in that section. 4.5. Email, SMS, and other external communication channels are additional means of notification. The Operator is not responsible for non-delivery or delay where the relevant causes are outside the Operator’s reasonable control. 4.6. The “CPV” subscription is intended to provide notifications regarding new announcements matching the “CPV” codes included in the subscription. 4.7. Notifications concerning subsequent amendments, additions, cancellations, awards, or other events relating to an announcement already received do not form part of the “CPV” subscription. 4.8. Notifications regarding such subsequent changes and events may be provided through separate tools or services available on the Platform, including the “Bookmark” tool, in accordance with the terms applicable to such tool or service. 5. PURCHASE OF ADDITIONAL “CPV” CODES 5.1. During the validity period of an active subscription, the Subscriber may purchase a subscription for one or more additional “CPV” codes. 5.2. The purchase of additional “CPV” codes is considered a separate purchase and does not result in recalculation of the price of previously completed purchases. 5.3. The price of an additional purchase is calculated in accordance with the pricing conditions in effect on the Platform at the time of the purchase, taking into account the remaining period of the active subscription. 5.4. If “CPV” codes belonging to different groups are selected within a single additional purchase, the pricing rules in effect at the time of that purchase apply. 5.5. In such a case, the highest applicable base price or another pricing mechanism established on the Platform for the relevant combination may be used as the basis for calculation. 5.6. The final price of the additional purchase is presented to the Subscriber before confirmation and, once confirmed, is charged from the Subscriber’s Wallet as a one-time Charge. 5.7. Additionally purchased “CPV” codes are included in the active subscription and remain active until its common expiration date. 5.8. The purchase of additional “CPV” codes does not change the common expiration date of the active subscription. 6. REMOVAL AND REPLACEMENT OF “CPV” CODES 6.1. The Subscriber may stop receiving notifications for an individual “CPV” code within the functionality available on the Platform. 6.2. Removal of an already purchased “CPV” code or discontinuation of notifications relating to that code does not result in a full or partial refund of the amount already paid for that “CPV” code. 6.3. An already purchased “CPV” code may not be replaced with another “CPV” code free of charge. 6.4. The purchase of a new “CPV” code is considered a separate purchase and is governed by Section 5 of these Special Terms. 6.5. This Section does not limit any rights of the User that cannot be restricted by contract under applicable law. 7. SUBSCRIPTION TERM AND RENEWAL 7.1. The subscription period begins at the time of activation unless expressly stated otherwise at the time of purchase. 7.2. All codes included in the “CPV” subscription have the same common expiration date. 7.3. Additional “CPV” codes purchased during an active subscription also remain active until the common expiration date of that subscription. 7.4. After the subscription expires, the provision of corresponding notifications under the “CPV” subscription ends unless the Subscriber renews the subscription. 7.5. The Subscriber may renew the subscription for the periods and under the conditions available on the Platform at the relevant time. 7.6. A subscription renewal is considered a new purchase and is subject to the prices and pricing conditions in effect on the Platform at the time of renewal. 7.7. Automatic renewal or automatic Charging from the Wallet applies only where such functionality is available on the Platform and has been previously selected or approved by the Subscriber. 7.8. If the Wallet Balance is insufficient at the time of automatic renewal, the subscription may not be renewed, and the provision of corresponding notifications may cease after the subscription expires. 8. USE TOGETHER WITH THE “SAVE SEARCH” SERVICE 8.1. If an announcement matching the criteria of a “Save Search” is also covered by the Subscriber’s active “CPV” subscription, no additional Charge is made for that announcement under the “Save Search” service. 8.2. The notification regarding such an announcement is provided to the Subscriber under the active “CPV” subscription. 8.3. After the “CPV” subscription expires, new announcements matching the “Save Search” criteria are subject to the payment conditions of the “Save Search” service in effect at the relevant time, unless the relevant announcement is covered by another active service or “CPV” subscription of the Subscriber. 8.4. The same announcement is not subject to duplicate Charging under both the “CPV” subscription and the “Save Search” service. 9. INFORMATION SOURCES AND MATCHING 9.1. The “CPV” subscription is an information service and does not replace the Subscriber’s independent review of the original source of the relevant announcement, official documents, and other material information. 9.2. Where information is obtained from an external official or public source, the Platform may, where applicable, identify the relevant original source. 9.3. The Operator does not guarantee that all information published in every possible original source will be available on the Platform or that such information will become available within a specific period. 9.4. In the event of any discrepancy between information presented in the original source and information presented on the Platform, the information published in the original source prevails. 9.5. The Subscriber is independently responsible for verifying information, documents, amendments, and deadlines that are material to the Subscriber. 9.6. The Operator does not guarantee that automated classification or matching mechanisms will identify every announcement that may be of interest to the Subscriber. 9.7. Matching may be affected by the completeness of source data, publication format, accuracy of “CPV” code assignment, subsequent changes to the data, and other technical factors. 10. PAYMENTS AND REFUNDS 10.1. Payments relating to the purchase, supplementation, and renewal of a “CPV” subscription are governed by these Special Terms and the Platform’s Special Terms for Payments, Wallet and Refunds. 10.2. Once the subscription has been activated and the Subscriber has been provided with access to the corresponding notification service, the Service is considered to be provided throughout the entire subscription period. 10.3. A small number of matching announcements or the absence of matching announcements during the subscription period does not, by itself, mean that the Service was not provided and does not, by itself, constitute grounds for a refund. 10.4. The Subscriber’s failure to open or read received notifications or to take any action based on them does not, by itself, constitute grounds for a refund. 10.5. Erroneous or duplicate Charges, confirmed technical errors, and other refund matters are governed by the Platform’s Special Terms for Payments, Wallet and Refunds. 11. CHANGES TO THE SPECIAL TERMS AND PRICING 11.1. The Operator may amend these Special Terms by publishing a new version on the Platform. 11.2. In the event of material changes, Users may be notified through the Platform. 11.3. If an amendment materially affects the conditions for using the “CPV” subscription, the Operator may require the User to accept the new version in order to continue using the Service. 11.4. Changes to base prices, coefficients, discounts, pricing conditions applicable to subscription periods, and other calculation parameters do not require an amendment to these Special Terms unless the fundamental contractual mechanism of the Service changes. 11.5. New pricing conditions apply to new purchases, purchases of additional “CPV” codes, and subscription renewals made after such conditions enter into force. 12. FINAL PROVISIONS 12.1. These Special Terms apply to the “CPV” subscription offered through the Tender.am Platform. 12.2. Matters not governed by these Special Terms are governed by the Public Agreement, the Special Terms for Payments, Wallet and Refunds, the Privacy Policy, and the applicable laws of the Republic of Armenia. 12.3. If any provision of these Special Terms is found to be wholly or partially invalid or unenforceable, this does not affect the validity of the remaining provisions. 12.4. Current base prices by “CPV” group, coefficients, pricing conditions applicable to subscription periods, and other pricing parameters are established and made available on the Platform. 12.5. These Special Terms may be published in Armenian, Russian, and English. 12.6. In the event of any conflict, inconsistency, or difference in interpretation between the language versions, the Armenian version shall prevail. 12.7.
